We are seeking an experienced and proactive Senior Counsel to serve as the lead legal partner for Samara’s real estate development and B2B ADU transactions. This individual will be responsible for supporting all legal aspects of our development deals and institutional sales efforts, playing a critical role in executing complex real estate transactions across California. The ideal candidate brings deep expertise in real estate law and has represented developers, contractors, lenders, or investors across a variety of financing and joint venture structures.
This is a high-impact, ground-floor opportunity to shape the legal function at a fast-growing company. The Senior Counsel will report directly to the CFO and collaborate cross-functionally across Development, Finance, and Sales to drive forward Samara’s mission.
Responsibilities:
Real Estate Development & Infill Projects:
•Serve as lead legal advisor for all phases of Samara's ground-up infill development projects across California.
•Structure, draft, and negotiate agreements related to land acquisition, title and survey review, due diligence, entitlement, and permitting.
•Manage closing processes for acquisitions, dispositions, refinancing, and development transactions.
•Negotiate and draft joint venture agreements, including equity structures and governance terms.
•Oversee legal aspects of construction financing, including acquisition, bridge, and permanent loans.
•Partner with development, construction, and finance teams to proactively manage legal risk and ensure compliance with local and state real estate regulations.
B2B ADU Sales & Commercial Transactions:
•Draft and negotiate design, build, and purchase agreements for the sale of ADUs to institutional buyers and multifamily developers.
•Support creation of master services agreements, pricing schedules, scopes of work, and project delivery frameworks for repeat buyers and portfolio transactions.
•Advise on risk allocation and negotiation strategies related to delivery, installation, warranty, and performance guarantees.
•Assist with standardizing contracting templates and playbooks for scaling B2B ADU transactions.
General Legal & Risk Managemen
t:
•Serve as the first in-house legal counsel, responsible for building a scalable legal infrastructure for real estate and commercial transactions.
•Maintain and optimize customer contract forms and support sales with playbooks and ad hoc legal support.
•Develop and implement contracting processes, compliance checklists, and risk management policies tailored to a high-growth, design-build environment.
•Work cross-functionally with Construction, Development, Sales, and Finance to support contract execution, regulatory compliance, and dispute resolution.
•Monitor changes in land use, zoning, ADU policy, and housing law that may affect company strategy and offerings.
•Manage outside counsel relationships where appropriate.
Qualifications:
•Location: In-person in Redwood City, CA office Tues-Thurs
•Law degree from a top-tier law school and membership in good standing with the CA state bar (or eligible for house counsel authorization).
•6+ years of legal experience, with a focus on complex transactional corporate matters, real estate development, or construction.
•Good business judgment and sound decision-making in balancing risk, opportunity, and business objectives.
•Strong interpersonal skills, capable of building strong relationships with and influencing client groups.
•Experience in contract negotiation, risk assessment, and landlord dispute resolution.
•Highly organized and able to work both independently and as a member of a team.
•Intellectual curiosity; Willingness to take on new challenges.
•Some travel is required.
•Ability to handle high-volume, complex transactions in a fast-paced environment.
•Experience with modular manufacturing is a plus.
•Strategic thinker with the ability and willingness to execute and build from the ground up, with a “no task too small” mindset
•Excellent communication and presentation skills, with the ability to convey complex data insights clearly to both technical and non-technical stakeholders.
•Comfortable working in a fast-paced, dynamic environment with the ability to manage multiple priorities and stakeholders.
