Summary:


Reporting to the Director of Contracts and Compliance, this role will have two primary functions.


The primary function is to support the management of TransCanada Turbines (TCT) Compliance Program, which has been established to ensure that TCT complies with all relevant laws, regulations and policies pertaining to TCT’s business activities in Canada and abroad. Key functions of this role include staying abreast of statutory and regulatory developments, reviewing and interpreting laws in the context of TCT’s business activities and ensuring personnel are in possession of necessary information to execute their roles in accordance with the requirements of TCT’s Compliance Program. The Compliance Specialist will work closely with the Director of Contracts Compliance to continue to revise, design and implement corporate policies to ensure compliance, and to efficiently identify gaps and correct any violations. A key focus of this position will be to assist (working with both internal and external resources) in the further development of TCT’s compliance function stretching across policy review, maintenance, training, development, audit and a continuous improvement cycle.


Secondarily, the Compliance Specialist will also work within the Contracts team providing general legal support as required. The individual in this role may also be required to work closely with external counsel on various legal matters as they arise, and to support projects and tasks as assigned by the General Counsel, Vice President, Corporate.


Duties and Responsibilities:


The duties and responsibilities for this role will include, but will not be limited to, the following:

Keep informed of legal and regulatory developments relevant to TCT’s business operations as they occur and analyze their applicability to TCT’s activities and objectives.
Review company policies and practices on a regular basis to ensure that all applicable law and regulations are reflected for regions in which TCT operates in (Canada, US, UK and not limited to additional international regions)
Develop and review proposed action plans to ensure compliance.
Develop and implement employee compliance training plan and program.
Develop and implement mechanisms for detecting, reporting and correcting violations to ensure minimal impact and optimal correction to enhance TCT’s capability.
Recommend corporate policies and strategies that promote TCT’s goals while complying with regulations.
Prepare and conduct both external (customer and supplier) and internal audits and investigations by developing strategies, maintaining records and designing procedures to effectively complete such audits and reviews.
As part of a team, assist corporate and business unit leadership groups on developments in corporate/commercial law and the potential impacts of legislative changes and/or court decisions to TCT’s operations.
Provide timely, proactive and solution-oriented legal advice as required.
Work with and manage external legal support by identifying necessary budget requirements for the provision of external legal services and appropriately managing external legal expenses.
Carry out or direct legal research as required.
When required, support review of commercial and legal terms and where necessary, support and execute negotiations with relevant parties to ensure acceptable terms are agreed.
When required, draft, review, and negotiate commercial agreements, such as service agreements, license agreements and supplier contracts.
Take ownership of Health, Safety and Environmental (“HSE”) issues and support the corporate HSE program and maintain a positive attitude towards the health and safety of employees and work environment.
Carry out any additional duties as assigned by the Director Contracts and Compliance.



Core Competencies

The successful candidate shall have or demonstrate the following qualifications:
A law degree. A combination of relevant work experience may also be considered.
3-7 years of relevant industry or legal experience in the areas of focus.
Exceptional analytical skills.
Ability to analyze and understand contract conditions coupled with the ability to apply and comply with statutory legislation and reg
Have superior contract drafting, negotiating, and reviewing skills.
Have experience independently managing corporate/commercial legal files.
Experience with international contract and contract negotiation is strongly preferred.
Be detail-oriented and possess strong organizational and time management skills.
Must be able to work independently and productively, while also working in a collaborative team focused environment.
Able to meet critical deadlines in a fast-paced environme
Possess strong communication skills both written and verbal, along with demonstrated negotiation and analytical skills.
Strong technical writing skills are required.
Must be willing to support a significant number of administrative duties.
Proficiency in MS Word, Excel, Power Point and MS Outlook 365.
